📜 End-User License Agreement (EULA)

This End-User License Agreement (“Agreement”) is a legal contract between you (the user) and Viyali Technologies Private Limited (“Viyali”, “we”, “us”, or “our”) for our mobile applications and related services (collectively, the “Apps”). By downloading, installing, or using our Apps, you agree to be bound by the terms of this Agreement [citation:1].
1. License Grant
Viyali grants you a non-exclusive, non-transferable, revocable, personal license to install and use the Apps on devices you own or control, solely for your personal, non-commercial purposes, in accordance with the App Store’s (e.g., Google Play) terms of service [citation:2].

You agree not to, and you will not permit others to: (a) reverse engineer, decompile, or attempt to derive the source code of the Apps, except to the extent expressly permitted by applicable law [citation:4]; (b) modify, adapt, or create derivative works from the Apps; (c) redistribute, sell, rent, lease, or sublicense the Apps; (d) use the Apps for any illegal purpose or in violation of any local, state, national, or international law [citation:7].
3. Intellectual Property
The Apps, including all code, structure, interfaces, and content (such as graphics and text), are the exclusive property of Viyali and are protected by copyright, trademark, and other intellectual property laws. This Agreement licenses the Apps to you, not sells them, and no ownership is transferred [citation:6].
4. Disclaimer of Warranties
THE APPS ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. Viyali disclaims all warranties, including but not limited to, implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Apps will be uninterrupted, error-free, secure, or free from viruses [citation:1].
5. Limitation of Liability
To the maximum extent permitted by law, in no event shall Viyali be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or data, arising out of or related to your use of the Apps, even if advised of the possibility of such damages. Your sole remedy is to discontinue using the Apps [citation:6].
6. Termination
This Agreement is effective until terminated. Your rights under this Agreement will terminate automatically without notice if you fail to comply with any of its terms. Upon termination, you must cease all use of the Apps and delete all copies from your devices [citation:1].

These Terms and Conditions (“Terms”) govern your use of Viyali’s websites, mobile applications, and services (the “Services”). By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, please do not use our Services [citation:8].

You agree to use the Services only for lawful purposes and in accordance with these Terms. You agree not to use the Services: (a) in any way that violates any applicable law or regulation; (b) to impersonate or attempt to impersonate Viyali, a Viyali employee, another user, or any other person; (c) to engage in any other conduct that restricts or inhibits anyone’s use or enjoyment of the Services, or which, as determined by us, may harm Viyali or users of the Services [citation:10].

If you create an account for any of our Services, you are responsible for maintaining the confidentiality of your account and password and for restricting access to your device. 3. Purchases, Subscriptions, and Refunds
Certain Services may offer in-app purchases or subscriptions. All payments are processed by third-party platforms (such as Google Play, Stripe, or Razorpay) and are subject to their terms. Viyali does not store your payment information. For subscriptions, you acknowledge that the payment will be recurring until canceled. Please refer to the platform’s refund policy; Viyali may not be able to process refunds directly [citation:3].
EU Consumer Right of Withdrawal: If you are an EU consumer, you have the right to withdraw from your purchase within 14 days without giving any reason. However, by downloading and using the app, you expressly consent to the immediate performance of the service and acknowledge that you will lose your right of withdrawal once the app has been fully downloaded and you have started using it [citation:9].
4. Intellectual Property Rights
The Services, their entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof), are owned by Viyali, its licensors, or other providers of such material and are protected by copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws [citation:8].
5. Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. Any legal suit, action, or proceeding arising out of, or related to, these Terms or the Services shall be instituted exclusively in the courts located in Chennai, India [citation:1].
6. Changes to Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days’ notice prior to any new terms taking effect.
